4. Client Responsibilities
You agree to:
Provide accurate, complete, and timely information and materials required for service delivery
Ensure that any content you supply (text, images, logos, data) does not infringe on third-party rights
Review work provided by Pixanary in a timely manner and provide feedback when requested
Maintain your own backups of content and data unless otherwise agreed
Pixanary is not responsible for delays caused by incomplete or late client responses.
5. Payments and Fees
All fees are outlined in the agreed proposal or invoice
Payments must be made according to the agreed schedule
Late payments may result in service suspension or termination
Fees paid are non-refundable unless otherwise stated in writing
Pixanary reserves the right to revise pricing with notice for ongoing services.
6. Intellectual Property
Client Content
All intellectual property provided by the client remains the property of the client.
Pixanary Work
Upon full payment, the client is able to use the final delivered work for its intended purpose. Pixanary retains the right to display completed projects in portfolios, case studies, and marketing materials unless otherwise agreed.
Pixanary retains ownership of proprietary tools, templates, frameworks, and methodologies used in delivering services.
7. Website Maintenance & Hosting
Unless explicitly stated, Pixanary does not guarantee hosting uptime, third-party service availability, or protection against cyberattacks.
Maintenance services may include updates, backups, and monitoring, but Pixanary is not responsible for failures caused by third-party plugins, platforms, or hosting providers.
8. SEO & Digital Marketing Disclaimer
Pixanary does not guarantee specific rankings, traffic levels, or sales results. SEO and digital marketing outcomes depend on many factors outside Pixanary’s control, including search engine algorithms, competition, and client industry conditions.
9. Third-Party Services
Pixanary may integrate or recommend third-party tools, platforms, or services (e.g., hosting providers, payment gateways, social media platforms). Pixanary is not responsible for outages, changes, or issues caused by these third parties.
10. Confidentiality
Both parties agree to keep confidential any non-public business, technical, or financial information shared during the course of the engagement, unless required by law or with written consent.
11. Limitation of Liability
To the maximum extent permitted by law, Pixanary shall not be liable for:
Loss of revenue, profits, or business opportunities
Data loss, security breaches, or downtime
Indirect, incidental, or consequential damages
Pixanary’s total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.
12. Termination
Either party may terminate services with written notice according to the terms in the service agreement. Upon termination:
Outstanding fees become immediately payable
Pixanary may suspend access to ongoing work or systems
No refunds will be issued for work already completed
13. Indemnification
You agree to indemnify and hold Pixanary harmless from any claims, damages, or expenses arising from:
Client-provided content
Misuse of delivered services
Violation of laws or third-party rights
14. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the applicable jurisdiction where Pixanary operates.
15. Changes to Terms
Pixanary reserves the right to update or modify these Terms at any time. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
